Florida Annual Report Guide

It’s that time of the year when Annual Reports for your business or nonprofit are due in Florida. Having to file an Annual Report may seem daunting, but with this guide you can file yours accurately in as little as 5 minutes.

What is an Annual Report? The report updates or confirms the Florida Department of State, Division of Corporations records. It is not a financial statement. The main purpose of an Annual Report is to update any information that’s changed over the past year regarding your business or organization, such as address, registered agent, and positions held by officers, directors, or members. You will also be paying your annual fee to the state to maintain your business’s or nonprofit’s “active status”. All Florida Annual Reports are due by May 1st each year. Below is a step by step guide to filing your Annual Report.

  1. Go to sunbiz.org

    • Manage/Change Existing Business

    • File Annual Report

  2. Type in your Document # - This can be found on your original Articles of Incorporation or Organization. You can also look this up on sunbiz through their online search tool.

  3. Update any changed information for your entity including:

    • Principal Address

    • Mailing Address

    • Registered Agent’s Name & Information

    • Member/Officer/Director Names & Information

      • Helpful Hint: You can list your business’s or organization’s address as each member’s, officer’s, or director’s address here to avoid having to change this more often than necessary and to avoid these individuals from getting junk mail sent to their homes.

    • Federal Employer Identification Number (Tax ID)

  4. Certificate of Status - Next, you’ll decide if you want a Certificate of Status for your business or organization. The cost of this is $5.00-$8.75. Most of the time this is unnecessary, unless a bank or institution is specifically asking you for this.

  5. Sign & Pay - Here you will electronically type your signature and title, attesting that everything in the Annual Report is true and correct. Next you will pay your annual fee online with credit card, debit card, or a Prepaid Sunbiz E-File Account; or by mail via check, money order, or payment voucher. As of 2023, fees are as follows:

    • Nonprofit: $61.25 (no late fee for filing after May 1st)

    • LLC: $138.75 ($400 late fee for filing after May 1st)

    • Corporation: $275 ($400 late fee for filing after May 1st)

  6. That’s it! Once you pay online and input an email to receive confirmation of receipt, you will be emailed the receipt. Keep this in your business’s or organization’s records and use it as a tax deduction. If paying by mail, your filing will take time to process and post.

Failing to file your Annual Report by the third Friday in September, will result in your entity being administratively dissolved or revoked in the state’s records at the close of business on the fourth Friday of September. Reinstatement of your entity requires submitting a reinstatement application and paying all associated fees (reinstatement fee + annual report fees) at the time of submission.
